1. Acceptance of Terms

By accessing or using the services provided by ADN Marketing ("the Agency"), you ("the Client") agree to be bound by these Terms and Conditions in their entirety. If you do not agree with any part of these terms, you must not use our services. These terms constitute a legally binding agreement under the laws of Canada.

2. Services Offered

ADN Marketing provides marketing, design, and creative services including but not limited to graphic design, branding, website design, digital marketing, marketing funnels, SEO strategy, consulting, and online education. Specific deliverables will be outlined in a separate written proposal or Statement of Work (SOW).

3. Client Responsibilities

  • Clients must provide accurate, complete, and timely information required for project execution.

  • Clients are solely responsible for obtaining all necessary rights, licenses, and permissions for any third-party materials submitted to the Agency.

  • Clients must review and approve deliverables within the timeframes specified in the project agreement. Delays caused by the Client may affect timelines and costs.

4. Project Scope & Changes

  • The scope, deliverables, timeline, and fees for each project will be defined in a written proposal or Statement of Work signed by both parties.

  • Any changes requested by the Client outside the agreed scope will require a written Change Order and may result in additional fees and timeline adjustments.

  • The Agency reserves the right to decline changes that conflict with professional standards or legal requirements.

5. Fees, Payment & Taxes

  • All fees will be outlined in the project proposal. Prices are in Canadian Dollars (CAD) unless otherwise stated.

  • Applicable GST (5%) will be added to all invoices as required by the Excise Tax Act (Canada). ADN Marketing operates in Alberta, which has no provincial sales tax (PST).

  • A non-refundable deposit of 50% is required before project commencement.

  • The remaining 50% balance is due upon project completion or as outlined in milestone payment schedules.

  • Invoices unpaid after 30 days will incur a late fee of 1.5% per month (18% annually) on the outstanding balance.

  • The Agency reserves the right to suspend services and withhold deliverables until all outstanding payments are received.

6. Refund Policy

  • The initial 50% deposit is non-refundable under any circumstances, as it covers resource allocation and project initiation costs.

  • If the Client terminates the project after work has commenced, payment is due for all work completed to the date of termination.

  • Refunds for incomplete milestones will be evaluated on a case-by-case basis at the Agency's discretion.

  • This policy complies with the Alberta Consumer Protection Act and applicable Canadian consumer protection legislation.

7. Intellectual Property

  • All creative work, designs, and deliverables produced by ADN Marketing remain the exclusive intellectual property of the Agency until full payment has been received.

  • Upon receipt of full payment, the Client is granted a non-exclusive, non-transferable license to use the final deliverables for the purposes outlined in the project agreement, unless a full rights transfer is explicitly agreed upon in writing.

  • ADN Marketing retains the right to display completed work in its portfolio and marketing materials unless the Client requests confidentiality in writing.

  • Third-party assets such as stock images, fonts, and plugins remain subject to their respective licenses. The Client is responsible for obtaining appropriate licenses for continued use.

8. Privacy & Personal Information (PIPEDA Compliance)

  • ADN Marketing collects, uses, and discloses personal information in accordance with the Personal Information Protection and Electronic Documents Act (PIPEDA) and applicable Alberta privacy laws, including the Personal Information Protection Act (PIPA Alberta).

  • Personal information collected from Clients will only be used for project delivery, invoicing, and communication purposes.

  • Clients have the right to access, correct, or request deletion of their personal information by contacting us at privacy@adn-marketing.ca.

  • ADN Marketing will not sell or share personal information with third parties without express consent, except as required by law.

9. Electronic Communications & Anti-Spam (CASL Compliance)

  • By providing your email address, you consent to receiving transactional communications related to your project.

  • Commercial electronic messages including newsletters and promotions will only be sent with your express or implied consent as defined under Canada's Anti-Spam Legislation (CASL, S.C. 2010, c. 23).

  • You may withdraw consent and unsubscribe at any time by clicking "Unsubscribe" in any email or by contacting us at info@adn-marketing.ca.

  • Unsubscribe requests will be processed within 10 business days as required by CASL.

10. Confidentiality

  • Both parties agree to keep confidential any proprietary or sensitive information shared during the course of the project.

  • This obligation survives termination of the agreement for a period of two (2) years.

11. Limitation of Liability

  • ADN Marketing's total liability for any claim arising from the services provided shall not exceed the total fees paid by the Client for the specific project giving rise to the claim.

  • The Agency is not liable for indirect, incidental, consequential, or punitive damages, including loss of profits or data.

  • This limitation does not apply in cases of gross negligence, willful misconduct, or as prohibited by applicable Canadian law.

12. Termination

  • Either party may terminate the agreement with 14 days written notice if the other party materially breaches these terms and fails to remedy the breach within that period.

  • Upon termination, the Client shall pay for all work completed to the termination date.

  • ADN Marketing will deliver all completed work upon receipt of final payment.

13. Dispute Resolution

  • The parties agree to first attempt to resolve any dispute through good-faith negotiation.

  • If negotiation fails, disputes shall be submitted to mediation before pursuing legal action.

  • If mediation is unsuccessful, disputes shall be resolved through the courts of Alberta, Canada.

14. Governing Law

These Terms and Conditions are governed by and construed in accordance with the laws of the Province of Alberta and the federal laws of Canada applicable therein, without regard to conflict of law principles.

15. Modifications

ADN Marketing reserves the right to update these Terms at any time. Clients will be notified of material changes via email or website notice at least 30 days before changes take effect. Continued use of services after that date constitutes acceptance of the revised terms.

16. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

17. Entire Agreement

These Terms, together with any signed proposals or Statements of Work, constitute the entire agreement between the parties and supersede all prior discussions or agreements.
